GOIMPART TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of GoImpart, a learning platform operated by WiseThat LLC (“WiseThat,” “GoImpart,” “we,” “us,” or “our”).

By accessing or using the GoImpart website, applications, or services (collectively, the “Platform”), you agree to be bound by these Terms, our Privacy Policy, and any additional agreements or releases presented to you.

If you do not agree, do not use the Platform.

1. About GoImpart

GoImpart is an educational platform that connects learners with industry professionals through:

Asynchronous Question & Answer (Q&A) interactions
Live, recorded Expert livestream sessions

Services may be offered on a paid basis, free of charge, or as a “Gift of Knowledge,” at GoImpart’s discretion.

GoImpart is operated by WiseThat LLC.

2. Eligibility

You must be at least 18 years old to use the Platform.

By using GoImpart, you represent that:

You are legally able to enter into these Terms
Any information you provide is accurate and current
You will comply with all applicable laws and regulations

3. Accounts and Registration

To access certain features, you must create an account.

You agree to:

Maintain the confidentiality of your login credentials
Be responsible for all activity under your account
Notify GoImpart immediately of unauthorized use

GoImpart may suspend or terminate accounts that violate these Terms.

4. User Roles

Users may participate in different roles, including:

Learners / Instructors
Industry Experts
Organizational or administrative users

Certain features require acceptance of additional agreements, including content releases and, for paid Experts, an Independent Contractor Agreement.

5. Platform Use and Conduct

You agree not to:

Violate any laws or regulations
Infringe intellectual property or privacy rights
Upload malicious code or attempt unauthorized access
Misrepresent identity or affiliation
Submit confidential, proprietary, or restricted information without authorization
Harass, threaten, or harm others
Submit false, misleading, defamatory, obscene, or unlawful content

GoImpart may investigate and take action against violations at its discretion.

6. Content and Participation

You are responsible for any content you submit or participate in creating, including questions, messages, recordings, or livestream participation.

You acknowledge that:

Content may be reviewed, moderated, edited, or removed
GoImpart is not obligated to publish or retain any content
Content may be recorded, transcribed, edited, clipped, and reused as permitted by applicable agreements

7. Recording and Livestreams

You acknowledge that:

Livestream sessions are always recorded
Recordings may include audio, video, screen share, chat, and interactions
Recordings may be edited, excerpted, clipped, and repurposed

Participation in a livestream constitutes consent to recording and related uses.

8. Payments and Fees

Some services require payment.

You agree that:

Fees and pricing will be disclosed prior to purchase or booking
Payments are non-refundable unless stated otherwise or required by law
Paid access grants service use, not ownership or control over content

GoImpart reserves the right to change pricing at any time.

9. Expert Compensation

Industry Experts may be compensated or may participate as a Gift of Knowledge.

Paid Experts are governed by separate compensation terms and an Independent Contractor Agreement.

GoImpart does not guarantee any minimum compensation or engagement volume.

10. Intellectual Property

All platform materials, branding, and Company-created content are owned by WiseThat LLC or its licensors.

User-generated content rights are governed by the Master Platform Agreement and applicable participation releases.

You may not copy, distribute, or exploit platform materials without permission.

11. Disclaimer of Warranties

GoImpart is provided “as is” and “as available.”

We make no warranties regarding:

Accuracy or completeness of content
Educational or professional outcomes
Availability or uninterrupted access

Expert opinions reflect individual perspectives and do not constitute professional advice.

12. Limitation of Liability

To the maximum extent permitted by law, WiseThat LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Total liability for any claim shall not exceed the amount paid by you to GoImpart in the twelve (12) months preceding the claim, or one hundred dollars ($100) if no fees were paid.

13. Indemnification

You agree to indemnify and hold harmless WiseThat LLC from claims arising out of:

Your use of the Platform
Your content or participation
Your violation of these Terms or applicable law

14. Suspension and Termination

GoImpart may suspend or terminate access at any time for:

Violations of these Terms
Legal or compliance concerns
Platform integrity or security

Termination does not affect rights already granted to GoImpart.

15. Privacy

Your use of the Platform is subject to the GoImpart Privacy Policy, which describes how we collect, use, and protect personal information.

16. Third-Party Services

The Platform may integrate with third-party services. GoImpart is not responsible for third-party content, terms, or performance.

17. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any disputes shall be brought in the state or federal courts located in Los Angeles County, California, unless otherwise required by law.

18. Changes to These Terms

We may update these Terms from time to time.

Changes will be posted on this page with an updated “Last Updated” date. Continued use of the Platform constitutes acceptance of updated Terms.
